Terms of service

These terms set out how the Nuncily website and service may be used, and what each side can expect from the other. We've kept them as clear as we can. If anything is unclear, contact us at support@nuncily.com.

About these terms

These terms are an agreement between you and Icosphere Pvt Ltd, which operates Nuncily ("Nuncily", "we", "us"). If you use Nuncily on behalf of a business, you confirm that you're authorised to accept these terms for it, and "you" means that business.

Where you have signed an order form or a separate written agreement with us, that agreement takes priority over these terms if the two conflict.

The service

Nuncily is an AI execution layer for business operations. Within the permissions you grant, it takes a request from first contact to a completed outcome: it collects what's needed, checks it, updates your connected systems, verifies the result, and escalates to a person when judgment is required.

We will provide the service with reasonable skill and care, and we continually improve it. If we make a change that materially reduces functionality you rely on, we'll tell you in advance.

Your responsibilities

You agree to:

  • keep your account credentials secure, and tell us promptly about any unauthorised use;
  • give Nuncily only the permissions it needs for your processes, and keep them up to date;
  • make sure you have the right to share any data you put into the service, including your own clients' data, and that you have given any notices the law requires;
  • use the service lawfully, and not use it to send spam, to infringe anyone's rights, or to attempt to access systems or data you aren't permitted to access;
  • not attempt to disrupt, reverse-engineer or overload the service.

Professional responsibility

Nuncily carries out operational work on your instructions. It does not provide accounting, tax, legal or other professional advice. Where your work involves professional judgment — for example approving a tax submission — responsibility for that judgment remains with you and your team. Nuncily is built to support this: you can require human approval for any step, and every action is recorded in an audit trail.

Permissions and actions on your behalf

Nuncily acts only within the permissions you grant, per connected system and per action, and you can change or revoke them at any time. Actions Nuncily takes within those permissions are taken on your behalf. Anything outside them, or anything ambiguous, is escalated to a person instead of being assumed.

Your data

You own your data. We claim no ownership of anything you or your clients put into the service. You grant us only the rights we need to provide the service to you.

We protect it. Customer data is hosted in the United Kingdom, encrypted in transit and at rest, and never used to train AI models. Our Privacy policy explains how we handle personal data. Where we process personal data on your behalf, we do so as your processor under a data processing agreement that meets the UK GDPR, which is available on request.

Confidentiality. Each of us will keep the other's confidential information confidential and use it only for the purposes of this agreement.

Our intellectual property

The Nuncily service, software, website and brand belong to us and our licensors. These terms give you the right to use the service during your subscription, and no other rights. If you send us feedback, we may use it to improve Nuncily without obligation to you.

Fees and payment

Fees are set out in your order form or the plan you select. Unless agreed otherwise, fees are billed in advance and payable within 30 days of invoice, and are exclusive of VAT and other applicable taxes. If an invoice remains unpaid after we've given you notice, we may suspend the service until it is paid.

Term and termination

Your subscription runs for the term in your order form and renews unless either of us gives notice. Either of us may end the agreement if the other materially breaches it and doesn't fix the breach within 30 days of written notice.

When the agreement ends, you can export your data for 30 days. After that, we delete it, unless the law requires us to keep it.

Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

Subject to that, neither of us is liable for indirect or consequential loss, or for loss of profit, revenue or goodwill. Each party's total liability under this agreement in any 12-month period is limited to the fees paid or payable by you in that period.

Apart from the commitments in these terms, the service is provided without other warranties, to the extent the law allows.

Changes to these terms

We may update these terms from time to time. We'll give customers at least 30 days' notice of any material change before it takes effect. The date at the top of this page shows when they were last updated.

Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
